These Terms of Service ("Terms") govern your access to and use of Incurdesk (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Incurdesk provides software for capturing receipts, categorizing and approving expenses, applying spending policies, and exporting to accounting systems. We may update, add, or remove features over time.

2. Accounts and eligibility

You must provide accurate information, keep your credentials secure, and be authorized to act for your organization. You are responsible for activity under your account and for your team members' use.

3. Subscriptions and billing

• Paid plans are billed in advance on a recurring basis according to the plan you select.
• Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
• Fees are non-refundable except where required by law.
• We may change pricing with reasonable notice; changes apply to the next billing period.

4. Your data

You retain all rights to the data you submit ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.

5. AI features

The Service uses automated and AI-assisted features to suggest categories, flag policy exceptions, and streamline approvals. These outputs are suggestions to assist your team and are not financial, tax, legal, or accounting advice. You remain responsible for reviewing and approving expense decisions and for the accuracy of your records.

6. Acceptable use

You agree not to misuse the Service, including by attempting to access it without authorization, interfering with its operation, reverse engineering it, or using it to violate any law or third-party right.

7. Third-party integrations

The Service may connect to third-party tools such as accounting platforms. Your use of those tools is governed by their own terms, and we are not responsible for third-party services.

8. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Incurdesk and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Incurdesk will not be liable for indirect, incidental, special, or consequential damages, and our total liability for any claim will not exceed the amount you paid for the Service in the twelve months before the claim.

11. Indemnification

You agree to indemnify Incurdesk against claims arising from your misuse of the Service or violation of these Terms.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms or where required by law. On termination you may export your data for a reasonable period.

13. Governing law

These Terms are governed by applicable law in the jurisdiction in which Incurdesk operates, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction.

14. Changes

We may update these Terms; material changes will be posted here with a new date. Continued use after changes means you accept the updated Terms.
